2-1 The subject of this work is the law governing registered companies, that is companies registered under the Companies Act 2006 (CA 2006) and its predecessors.

2-2 Incorporation by registration was first made possible by the Joint Stock Companies Act 1844. At that time, limited liability was unknown and it was not introduced until the Limited Liability Act 1855. The pattern of company law, thereafter, was of major consolidating legislation at regular intervals, such as the Companies Act 1908, the Companies Act 1929 and the Companies Act 1948. Prior to the CA 2006, the most recent consolidation was the Companies Act 1985, subsequently amended, in particular, by the Companies Act 1989 and by the Companies (Audit, Investigations and Community Enterprise) Act 2004. More discrete material was to be found in the Company Directors Disqualification Act 1986 and the Business Names Act 1985....
